RB 19/2016 2016-06-30 Appointment of Supervisory Board and Management Board of a new term

The Management Board of Fast Finance S.A. with its registered office in Wrocław („the Issuer”), hereby informs that on 30 June 2016 the Annual General Meeting of the Issuer appointed the Issuer's Supervisory Board of a new term and the new Supervisory Board of the Issuer appointed the Management Board of a new term.
The Supervisory Board of the new term is composed of the following persons:
- Mr Andrzej Kiełczewski,
- Mr Grzegorz Kawczak,
- Mr Marek Ochota,
- Ms Hildegarda Kaufeld,
- Ms Dorota Stempniak.

Bio of Andrzej Kiełczewski
Andrzej Kiełczewski studied philosophy at the University of Wrocław, and then in Stockholm and in Uppsala. He started his professional career in Sweden gaining further experience and knowledge by working for Swedish, Swiss, French and British companies. He served as a consultant, management advisor, CEO, member of the management board, member of the supervisory board. From 2004 to 2010 he was involved with the Crédit Agricole Group where he served as an advisor to the management board first at EFL and then at LUKAS Bank.
He is also licenced to serve as member of supervisory boards of state treasury companies and to serve as a trustee in bankruptcy.
Mr Andrzej Kiełczewski is not involved in any competitive activity outside the Issuer's company and does not participate in any competitive company as a partner in a private partnership, partnership or as a member of governing bodies of any competitive company, and does not participate in any other competitive legal person as a member of its governing body. He is also not registered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register (KRS).

 

Bio of Grzegorz Kawczak:
Grzegorz Kawczak graduated from the University of Szczecin, Department of Law and Administration. He also completed post-graduate studies (Real Property Market, specialisation in Real Estate Brokerage and Management and Real Property and Business Valuation) at the Department of Economic Sciences and Management of the University of Szczecin. Grzegorz Kawczak has extensive experience in legal consulting for businesses. He has also advised private companies on reorganisation projects and on new operating strategies. Currently works in an advisory capacity with private companies on the implementation of a number of large development projects.
Mr Grzegorz Kawczak is not involved in any competitive activity outside the Issuer's company and does not participate in any competitive company as a partner in a private partnership, partnership or as a member of governing bodies of any competitive company, and does not participate in any other competitive legal person as a member of its governing body. He is also not registered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register (KRS).

 

Bio of Marek Ochota:
Marek Ochota is a graduate of the University of Economics in Wrocław, Department of National Economy, specialisation in Finance and Banking. He was a co-founder and shareholder of Dolnośląski Dom Maklerski, one of Poland's first brokerage houses, where he worked as Chief Accountant of Securities. He then participated in the establishment of Miejski Dom Maklerski S.A. where he served as President of the Management Board. Currently he is involved in the sector of renewable energy sources. He has an excellent track record in accounting and finance.
Mr Marek Ochota is not involved in any competitive activity outside the Issuer's company and does not participate in any competitive company as a partner in a private partnership, partnership or as a member of governing bodies of any competitive company, and does not participate in any other competitive legal person as a member of its governing body. He is also not registered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register (KRS).

 

Bio of Ms Hildegarda Kaufeld:
Hildegarda Kaufeld is a graduate of an economics school. She has extensive experience in accounting and in organisational and legal issues. She has built her track record while working as an advisor on organisational and legal issues, secretary to the supervisory board, HR manager and economic department manager.
Ms Hildegarda Kaufeld is not involved in any competitive activity outside the Issuer's company and does not participate in any competitive company as a partner in a private partnership, partnership or as a member of governing bodies of any competitive company, and does not participate in any other competitive legal person as a member of its governing body. She is also not registered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register (KRS).

 

Bio of Ms Dorota Stempniak:
Ms Stempniak graduated from the Department of Law, Administration and Economics of the University of Wrocław. She is currently pursuing her Ph.D. in Legal Sciences. Currently working for Kancelaria Radców Prawnych Łuć & Wojtylak Sp. p.
Ms Dorota Wiktoria Stempniak is not involved in any competitive activity outside the Issuer's company and does not participate in any competitive company as a partner in a private partnership, partnership or as a member of governing bodies of any competitive company, and does not participate in any other competitive legal person as a member of its governing body. She is also not registered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register (KRS).

 

The Management Board of the new term is composed of the following persons:
- Jacek Longin Daroszewski - President of the Management Board
Jacek Zbigniew Krzemiński - Vice President of the Management Board



Bio of Mr Jacek Longin Daroszewski
Mr Jacek Daroszewski is a graduate of Wrocław University of Technology (Mechanical Department) where he earned his M.Sc. Involved in business practice since the start of 1980s and in the financial services market since 1991. In 1991-1997 owner and in 1997-2006 co-owner and President of the Management Board of Fast Lane Leasing. In 1992-1995 shareholder and Vice President of the Management Board of Miejski Dom Maklerski S.A. Since 2004 co-owner and President of the Management Board of Fast Finance (initially Fast Finance Sp. z o.o. and since 15 January 2008 Fast Finance S.A.). Since September 2009 co-owner and President of the Management Board of J&J Financial Advisors Sp. z o.o.
Mr Jacek Daroszewski is not involved in any competitive activity outside the Issuer's company and does not participate in any competitive company as a partner in a private partnership, partnership or as a member of governing bodies of any competitive company, and does not participate in any other competitive legal person as a member of its governing body. He is also not registered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register (KRS).

 

Bio of Mr Jacek Zbigniew Krzemiński
Mr Jacek Krzemiński is a graduate of the Secondary Technical School of Mechanics in Wrocław. Has an extensive track record in managing Polish and international companies. He gained his experience and knowledge serving as a CEO at such companies as ESI Sp. z o.o., Aqua Witta Sp. z o.o. and Bathinex Sp. z o.o. He also served as member of the Supervisory Board of N.P.R. Krusz Sp. z o.o., Jar Sp. z o.o. and Deputy Chairman of the Supervisory Board of BioEton S.A. His also honed his managerial skills in an international environment working in 1997-2000 for a German company Schwarzwald Electronic GmgH Berlin. Since 2009 he has been a member of the Supervisory Board of BioEton Kyritz GmbH. Since September 2009 co-owner and Vice President of the Management Board of J&J Financial Advisors Sp. z o.o.
Mr Jacek Krzemiński is not involved in any competitive activity outside the Issuer's company and does not participate in any competitive company as a partner in a private partnership, partnership or as a member of governing bodies of any competitive company, and does not participate in any other competitive legal person as a member of its governing body. He is also not registered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register (KRS).

 

Legal basis: Article 5(1)(22) of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic disclosures to be made by issuers of securities and on conditions for recognition as equivalent of information whose disclosure is required under the law of a state which is not a member state (Dz.U. of 2009 No. 33, item 259, as amended).

FAST FINANCE wykupi część obligacji serii M

FAST FINANCE S.A. przeprowadzi wykup kolejnej części obligacji serii M w ramach okresowej amortyzacji. Środki pieniężne wymagane z tego tytułu Spółka przekazała już do Krajowego Depozytu Papierów Wartościowych.

W I kwartale 2018 roku Grupa Kapitałowa FAST FINANCE S.A., osiągnęła skonsolidowane przychody w wysokości 7,2 mln zł i 1,3 mln zł zysku netto.

FAST FINANCE redukuje zadłużenie – podsumowanie wyników za 2017 rok

FAST FINANCE, jedna z czołowych firm windykacyjnych w Polsce, specjalizująca się w zarządzaniu portfelami wierzytelności masowych, wypracowała w 2017 roku skonsolidowane przychody w wysokości 27,6 mln zł i zysk netto w wysokości 7,4 mln zł. Spółka obniżyła też znacząco, o 21,7%, wskaźnik zadłużenia finansowego i zdywersyfikowała źródła finansowania.

Podsumowanie 2017: Dobry rok dla FAST FINANCE

FAST FINANCE podsumowuje rok – redukcja zadłużenia i nowy model finansowania. W 2017 roku spółka FAST FINANCE zredukowała zadłużenie z tytułu emisji obligacji, zdywersyfikowała źródła finansowania – wdrażając finansowanie zakupów portfeli wierzytelności poprzez sprzedaż certyfikatów FAST FINANCE NSFIZ – oraz podniosła efektywność kosztową kluczowych procesów. Tym samym przygotowano warunki dla stabilnego rozwoju w 2018 roku.
