RB 3/2015 2015-03-20 Entering into an investment agreement

The Management Board of Fast Finance S.A. with its registered office in Wrocław (the "Issuer") hereby informs that on 19 March 2015 it concluded with Bank Polskiej Spółdzielczości S.A. with its registered office in Warsaw (the "Bank") and with Mr Jacek Daroszewski an investment agreement under which the Issuer and Mr Jacek Daroszewski undertake to successively repurchase from Bank Polskiej Spółdzielczości 8,613 series J bonds acquired by the Bank as part of the issue of up to 30,000 series J bonds. The condition precedent to the coming into force of the above-mentioned agreement is the coming into effect of the issue of series J bonds and the redemption of series D bonds by 23 March 2015.In the event of coming into force of the above agreement of repurchase from the Bank of 8,613 series J bonds with a total nominal value of PLN 8,613,000, the redemption shall be made by Fast Finance S.A. or by an entity indicated by the Issuer by 31 January 2016. The above bonds repurchase agreement is secured by a guarantee offered by Mr Jacek Daroszewski. In accordance with issue terms and with this agreement, series J bonds shall be repurchased at their nominal value plus interest due indicated in the bonds issue terms calculated based on the maturity date and on the number of the bonds subject to redemption.

 

The remaining terms of the agreement do not differ significantly from the terms generally used in similar agreements.
In the event of fulfilment of the conditions precedent referred to above the Issuer shall publish a relevant current report.


Where the Issuer, a third party or Jacek Daroszewski fail to perform the obligations under the repurchase agreement, the Issuer shall pay the Bank liquidated damages of PLN 10,000,000. The provision for the above liquidated damages is without prejudice to the Bank’s right to seek damages exceeding the amount of liquidated damages in accordance with the general provisions of the law.
The agreement meets the materiality criterion as its value exceeds 10% of the Issuer’s equity.

Legal basis: Article 5(1)(3) of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic disclosures to be made by issuers of securities and on conditions for recognition as equivalent of the information whose disclosure is required under the law of a state which is not a member state.

FAST FINANCE wykupi część obligacji serii M

FAST FINANCE S.A. przeprowadzi wykup kolejnej części obligacji serii M w ramach okresowej amortyzacji. Środki pieniężne wymagane z tego tytułu Spółka przekazała już do Krajowego Depozytu Papierów Wartościowych.

FAST FINANCE redukuje zadłużenie – podsumowanie wyników za 2017 rok

FAST FINANCE, jedna z czołowych firm windykacyjnych w Polsce, specjalizująca się w zarządzaniu portfelami wierzytelności masowych, wypracowała w 2017 roku skonsolidowane przychody w wysokości 27,6 mln zł i zysk netto w wysokości 7,4 mln zł. Spółka obniżyła też znacząco, o 21,7%, wskaźnik zadłużenia finansowego i zdywersyfikowała źródła finansowania.

FAST FINANCE podsumowuje rok – redukcja zadłużenia i nowy model finansowania. W 2017 roku spółka FAST FINANCE zredukowała zadłużenie z tytułu emisji obligacji, zdywersyfikowała źródła finansowania – wdrażając finansowanie zakupów portfeli wierzytelności poprzez sprzedaż certyfikatów FAST FINANCE NSFIZ – oraz podniosła efektywność kosztową kluczowych procesów. Tym samym przygotowano warunki dla stabilnego rozwoju w 2018 roku.
